Symplr.io Terms of Use (the “Terms”)
This Terms of Use agreement (“Agreement”) is entered into by and between you (“User,” “you,” or “your”) and Symplr.io, accessible at https://symplr.io/, having its registered address at 60 Paya Lebar Road, #04-23 Paya Lebar Square, Singapore 409051 (“Company,” “we,” “us,” or “our”).
By accessing, browsing, registering for, or otherwise using the website and any associated applications or services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be legally bound by this Agreement, effective from your first use of the Service. If you do not agree, you must immediately cease all use of the Service.
1. Definitions
In this Agreement, unless the context otherwise requires:
- “Service” means all products, services, applications, content, APIs, and functionality provided by the Company.
- “Site” means https://symplr.io/.
- “User Content” means any data, materials, or content uploaded or submitted by you.
- “Intellectual Property Rights” means all rights globally relating to copyrights, trademarks, patents, and proprietary rights.
- “Parties” means the User and the Company collectively.
Words in the singular include the plural and vice versa.
2. Acceptance and Scope
This Agreement governs your access to and use of the Service and all associated content (“Symplr.io Material”). You agree to comply with all applicable laws and regulations of Singapore, and all applicable laws and regulations for the jurisdiction that you / your company operates from.
We reserve the right to amend these Terms at any time. Continued use of the Service constitutes acceptance of such amendments.
3. Account Registration and Security
To access certain features, you must register an account and provide accurate and complete information.
You agree that:
- You are responsible for maintaining the confidentiality of your account credentials;
- You are responsible for all activities under your account;
- You will notify us immediately of any unauthorised access or use.
You must not:
- Create accounts using false information;
- Impersonate any individual or entity;
- Create multiple or unauthorised accounts.
4. Acceptable Use
You shall not:
- Use the Service in violation of any applicable laws or regulations;
- Upload malicious code, viruses, or harmful software;
- Attempt unauthorised access to systems or data;
- Generate excessive traffic or disrupt the Service;
- Use the Service for fraudulent or misleading purposes.
Any breach may result in immediate suspension or termination.
5. Unauthorized Access and Security
You must not attempt to gain unauthorised access to the Site, servers, or databases.
You must not conduct denial-of-service or distributed denial-of-service attacks.
Any such actions may result in:
- Immediate termination of access; and
- Reporting to relevant law enforcement authorities in Singapore.
6. Intellectual Property
All Intellectual Property Rights in the Service are owned by or licensed to the Company.
You are granted a limited, non-exclusive, revocable licence to use the Service for its intended purpose.
You must not:
- Copy, modify, reverse engineer, or distribute the Service;
- Create derivative works or competing products.
7. User Content
You retain ownership of your User Content.
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use such content for the operation and improvement of the Service.
You warrant that:
- You have the necessary rights to submit such content;
- The content does not infringe third-party rights.
We reserve the right to remove any content at our discretion.
8. Confidentiality
You agree to keep confidential all non-public information disclosed in connection with the Service.
Such obligations:
- Survive termination indefinitely;
- Apply except where disclosure is required by law.
9. Disclaimers
To the maximum extent permitted under Singapore law:
- The Service is provided on an “as is” and “as available” basis;
- We do not guarantee uninterrupted or error-free operation;
- Use of the Service is at your sole risk.
We are not responsible for:
- Third-party content or services;
- Loss caused by viruses or malicious software.
10. Limitation of Liability
To the fullest extent permitted by law:
- We shall not be liable for any indirect, incidental, or consequential losses;
- Our total liability shall not exceed SGD 0.00.
Nothing excludes liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation.
11. Indemnity
You agree to indemnify and hold harmless the Company from any claims arising out of:
- Your use of the Service;
- Breach of this Agreement;
- Violation of any law or third-party rights.
12. Suspension and Termination
We may suspend or terminate your access:
- For breach of these Terms;
- For security concerns;
- At our discretion with or without notice.
We may terminate this Agreement with at least 24 hours’ notice.
Upon termination:
- Access will be revoked;
- You must cease use of all materials.
13. Service Description
The Service enables Users to:
- Upload and execute workflow specification files;
- Integrate with documentation platforms;
- Build applications using templates or imported designs;
- Add workflows and logic;
- Generate and export application code.
14. Fees
The Service is currently provided free of charge.
We reserve the right to introduce fees, including for premium or enterprise features, at any time with notice.
15. Miscellaneous
- Force Majeure: We are not liable for events beyond our control.
- Assignment: We may assign this Agreement without restriction.
- Entire Agreement: This Agreement constitutes the entire understanding between Parties.
- Severability: Invalid provisions shall not affect the remainder.
- Waiver: Failure to enforce any right is not a waiver.
16. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Singapore.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
17. Subscription and Access
Access to certain features may be provided on a subscription basis.
We reserve the right to:
- Modify features;
- Introduce tiered access levels;
- Restrict or suspend access based on usage or non-compliance.
18. Data and Hosting
You acknowledge that:
- Data may be processed and stored on cloud infrastructure;
- You are responsible for the legality of all data uploaded.
We implement reasonable safeguards but do not guarantee absolute security.
19. Service Levels
Unless expressly agreed in writing:
- No uptime or service level guarantees are provided;
- Maintenance may cause interruptions.
20. Acceptable SaaS Use Restrictions
You must not:
- Reverse engineer or extract source code;
- Use the Service to develop competing products;
- Resell or commercially exploit the Service without authorisation.
21. Data Retention and Deletion
Upon termination:
- Access to data may be revoked;
- Data may be deleted after a reasonable retention period.
22. Account Responsibility in SaaS Context
You are responsible for:
- Managing user access within your organisation;
- Ensuring compliance by your users.
23. Modifications to SaaS Services
We may:
- Modify features or functionality;
- Introduce fees;
- Discontinue parts of the Service.
Continued use constitutes acceptance of such changes.
